Welcome to ProChat! These Terms of Service ("Terms") govern your access to and use of the ProChat application, website, and services (collectively, the "Service"), operated by ProChat ("we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
ProChat is a tool that allows Users to aggregate and view live chat messages from multiple Third-Party Platforms in a single, consolidated interface. The Service is designed to help streamers manage their multi-platform chat communications effectively.
You acknowledge that the Service is highly dependent on the availability and policies of the Third-Party Platforms it integrates with. We use a combination of official APIs and other automated methods to provide functionality. Changes made by these Third-Party Platforms may unexpectedly disrupt or break features of the Service. We do not guarantee any specific level of uptime and are not liable for any service interruptions, data loss, or loss of functionality resulting from actions taken by these Third-Party Platforms.
You retain ownership of your User Content. To allow us to provide the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, host, display, and process your User Content solely for the purpose of operating and improving the Service for you.
While using our Service, you agree to:
In addition, you agree not to: reverse-engineer the Service; use bots to scrape data from the ProChat Service; interfere with our infrastructure; attempt to gain unauthorized access to other user accounts; or use the Service to engage in harassment, spam, or any activity that violates the terms of Third-Party Platforms.
Excluding your User Content, you acknowledge that all rights, title, and interest in and to the Service, including all underlying software, code, technology, branding, logos, and visual design, are the exclusive property of ProChat. You agree not to copy, modify, resell, distribute, or create derivative works of the Service without our express written permission.
If you provide us with any ideas, suggestions, or feedback regarding the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, implement, and share such Feedback for any purpose, without any obligation or compensation to you.
The Service may be provided for free or under paid subscription plans. We reserve the right to introduce or change fees and subscription tiers.
We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time with or without notice. From time to time, we may offer new "beta" or experimental features. Such features are provided "as-is" without any warranty, may contain bugs or errors, and may be modified or discontinued at our discretion. Your use of beta features is at your own risk.
We may periodically schedule downtime for maintenance, updates, or other technical reasons. We will endeavor to provide advance notice of any planned maintenance, but you acknowledge that we may not be able to provide notice in the event of an emergency. ProChat is not liable for any damages, liabilities, losses, or other consequences you may incur as a result of any service interruption or downtime.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE DATA PROVIDED BY THIRD-PARTY PLATFORMS WILL BE ACCURATE, COMPLETE, RELIABLE, OR TIMELY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROCHAT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY LOSS OR CORRUPTION OF DATA, FAILURE TO SYNC CHAT MESSAGES, OR SERVICE INTERRUPTIONS, WHETHER CAUSED BY THIRD-PARTY PLATFORM ISSUES, USER ERROR, OR OUR OWN SYSTEMS.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF PROCHAT FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO PROCHAT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless ProChat and its employees from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service or your violation of these Terms.
These Terms shall be governed by the laws of the State of New Hampshire. Any dispute arising from these Terms shall be resolved through binding arbitration conducted in Strafford County, New Hampshire.
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date, and we may also notify you via email or an in-app banner. Your continued use of the Service constitutes your acceptance of the new Terms.
Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and ProChat regarding the Service and supersede all prior or contemporaneous oral or written understandings.
Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign or transfer these Terms without restriction.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of ProChat.
